Also attached is a version including drafting notes/comments from the Outside Counsel highlighting the key items to have in mind and reflecting the requirements of competition law with regard to territorial and customer restrictions. The way the provisions are formulated also depends on whether SECUTIX intends to allocate territories and/or customers exclusively to one or several (up to five) resellers. So far the idea is that the resellers should be appointed on a non-exclusive basis with a focus on region rather than a specific country.
